Chatinbox Terms of Use and Service Agreement

In short

  • What you get: official WhatsApp Business API access. Modules such as the multichannel inbox, CRM, template management, automation, cloud PBX and API; which ones are included depends on the plan you choose (clause 2).
  • Payment: the subscription fee is charged monthly or yearly in advance and renews automatically unless cancelled (you can stop it from the panel or by email before the period ends). For WhatsApp template messages, Meta's per-conversation fee sits outside the subscription and is passed on according to usage (clause 5.4).
  • Downtime: planned maintenance is announced at least 24 hours in advance.
  • Service suspension: in cases of material breach of the agreement, payment being 14 days late, unlawful use, a restriction by a third party platform or behaviour that harms the infrastructure, the service may be suspended or terminated without prior notice (clause 10).
  • Disputes: the laws of the Republic of Türkiye · İstanbul (Anadolu) Courts. For users who qualify as consumers, the jurisdiction of Consumer Arbitration Committees and Consumer Courts is reserved.

Introduction

These Terms of Use and Service Agreement (the "Agreement") govern the rights and obligations between Inbox Limited ("Chatinbox" or the "Company") and the legal entity or natural person (the "User") who uses the https://chatinbox.net website, web application and connected API services (the "Service").

When you start using the Service, you are deemed to declare that you have read and understood this Agreement and that you accept its terms unconditionally. If you do not accept the terms, you should not use the Service.

1. Definitions

  • Service: the WhatsApp Business API platform offered under the Chatinbox brand, the multichannel messaging infrastructure, CRM, cloud PBX and all connected software, API and support services.
  • User: the natural or legal person who uses the Service individually or as an organisation, takes out a subscription or creates a trial account.
  • Account: the access area allocated to the User, authenticated by email or phone.
  • End User: the third parties the User communicates with through the Service (the User's customers, visitors or counterparties).
  • Content: any message, file, media, customer data and message template sent, received or stored through the Service.
  • Third Party Services: Meta (WhatsApp, Instagram, Facebook), Telegram, payment systems and other external platforms the Service works with.

2. Scope of the service

2.1. Chatinbox provides official WhatsApp Business API access. The Service includes modules such as the multichannel inbox, CRM, message template management, automation, cloud PBX and API access.

2.2. The features available in the Service vary according to the subscription plan the User selects. Plan contents and pricing are published, kept current, at https://chatinbox.net/pricing.

2.3. Chatinbox reserves the right to make changes in the operation of the Service such as technical and operational improvements, new features or removals. Significant changes are announced to the User in advance by email or in-panel notification.

3. Opening an account and security

3.1. The User declares that the information given while opening an Account is correct, current and complete. If false or misleading information is given, Chatinbox has the right to suspend or close the Account.

3.2. Account access details (username, password, API key) are the User's responsibility. All consequences arising from sharing this information with third parties or from unauthorised access belong to the User.

3.3. When the User detects unusual activity on their Account, they are obliged to notify Chatinbox immediately at hello@chatinbox.net.

3.4. The Service is not open to users under the age of 18. A User opening a corporate Account declares that they are authorised to represent and bind the relevant legal entity.

4. User obligations and prohibited conduct

4.1. The User agrees to use the Service in accordance with the laws of the Republic of Türkiye, the Personal Data Protection Law (KVKK), the relevant legislation and all provisions of this Agreement.

4.2. Through the Service, the User may not:

  • send unsolicited marketing messages to people who have not given explicit consent (a breach of KVKK arts. 5 and 6),
  • send content contrary to the WhatsApp Business Messaging Policy, the Meta Commerce Messaging Policy or the Telegram Community Guidelines,
  • spread spam, phishing, malware, fake content or misleading information,
  • send content that infringes intellectual property rights such as copyright, trademark or patent,
  • run automated scripts, botnets or DDoS attacks that would harm the Service infrastructure,
  • attempt reverse engineering, source code extraction or copying of the internal workings of the Service,
  • collect, store or process third parties' personal data without permission,
  • process personal data relating to individuals under 18 without the explicit consent of a parent or guardian.

4.3. Where a breach of the prohibitions above is identified, Chatinbox may suspend or close the Account without prior notice. In that case any refund request is at Chatinbox's discretion.

5. Payment and subscription

5.1. The Service is offered on a paid subscription model. Subscription fees are collected in advance, monthly or yearly, according to the plan selected.

5.2. Payment can be made by debit card, credit card or corporate bank transfer supported by Chatinbox. Collection is carried out through PCI-DSS compliant payment service providers.

5.3. The subscription renews automatically. The User can stop automatic renewal by sending a cancellation request through the panel or to hello@chatinbox.net before the current period ends. The Service remains usable until the end of the current period.

5.4. For Message Template messages sent through the WhatsApp Business API, Meta applies per-conversation charging. These fees sit outside the subscription and are passed on to the User by Chatinbox according to usage.

5.5. Under article 15 of the Turkish Distance Contracts Regulation, the right of withdrawal cannot be exercised for SaaS services that qualify as digital content once use of the Service has begun. Even so, Chatinbox may consider a pro-rata refund on request for Users who are not satisfied within the first 14 days.

6. Intellectual property rights

6.1. All software, source code, brand, logo, interface, documentation, articles and visuals belonging to the Service are the exclusive property of Chatinbox or its licensors. They are protected by Turkish Law no. 5846 on Intellectual and Artistic Works, Law no. 6769 on Industrial Property and international treaties.

6.2. This Agreement grants the User only a non-exclusive, non-transferable licence to use the Service. Reverse engineering, copying, reproduction, sale, rental or the creation of derivative works is prohibited.

6.3. All intellectual property rights over the Content the User uploads or sends through the Service remain with the User. Chatinbox is authorised to process, store and back up that content solely in order to provide the Service.

7. Third party services

7.1. The Service works integrated with third party services such as Meta (WhatsApp Business API, Instagram, Facebook), Telegram, payment service providers, e-commerce platforms and CRM systems.

7.2. Use of these third party services is subject to the relevant provider's own terms and policies. In particular, the WhatsApp Business Messaging Policy and the Meta Commerce Messaging Policy are binding for all WhatsApp sends made through the Service.

7.3. Chatinbox cannot be held responsible for restrictions in the Service caused by an outage, a change in quality or a policy update at a third party service; however, Chatinbox takes reasonable measures and makes an effort to maintain continuity.

8. Service level and limits of liability

8.1. Chatinbox makes an effort to take the technical and operational measures reasonably necessary for the Service to run without interruption. Planned maintenance is announced to the User at least 24 hours in advance and is carried out during low-traffic hours wherever possible.

8.2. Chatinbox's total liability is limited to the total fee the User paid for the Service in the 12 months before the date the relevant event occurred.

8.3. Chatinbox cannot be held liable for indirect, incidental, consequential or punitive damages, loss of profit, loss of customers, damage to reputation or loss of data. These limitations apply to the maximum extent permitted by the laws of the Republic of Türkiye.

8.4. Force majeure events (natural disaster, epidemic, war, government decision, internet infrastructure outage, third party API outage and similar) delay or remove Chatinbox's obligations.

9. Data processing and privacy

9.1. Chatinbox acts in accordance with Turkish Law no. 6698 on the Protection of Personal Data (KVKK) and the EU GDPR in protecting the personal data processed through the Service. Detailed information on the processing of user data is set out in the KVKK notice (published in Turkish) and the Privacy Policy.

9.2. The User is obliged to obtain KVKK-compliant explicit consent from their End Users. For marketing messages, the provisions of Law no. 6698 and Law no. 6563 on the Regulation of Electronic Commerce apply.

9.3. Given the nature of the service, Chatinbox may process and store User data on servers located inside or outside Türkiye. Where a transfer abroad is involved, the transfer mechanisms in article 9 of Law no. 6698 are applied together with contractual, technical and administrative security measures. 10. Suspension and termination of the service

10.1. In the following cases Chatinbox may suspend or fully terminate the Service immediately and without prior notice:

  • material breach of this Agreement,
  • payment not being made for 14 days or longer,
  • identification of unlawful or fraudulent use,
  • an account restriction applied by WhatsApp Business or another third party platform,
  • behaviour that harms the Service infrastructure.

10.2. If the Agreement ends, the User's Account data is kept in archive for 90 days and is then deleted irreversibly. Mandatory retention periods set out in legislation (see clause 6 of the KVKK notice) are an exception to this period and the relevant data continues to be kept until the statutory period expires. Within this period the User can send an export request to hello@chatinbox.net.

11. Changes and updates

11.1. Chatinbox reserves the right to update this Agreement unilaterally. Material changes are announced to the User at least 15 days in advance by email or in-panel notification.

11.2. Continuing to use the Service after the date of a change means acceptance of the updated terms.

12. Governing law and dispute resolution

12.1. This Agreement is subject to the laws of the Republic of Türkiye.

12.2. İstanbul (Anadolu) Courts and Enforcement Offices have exclusive jurisdiction over any dispute arising from or relating to the Agreement.

12.3. For Users who qualify as consumers, the jurisdiction rules of Consumer Arbitration Committees and Consumer Courts are reserved.

Frequently asked questions

How do I cancel my subscription?

You can start the cancellation from the panel under Account Settings → Subscription, or send your request to hello@chatinbox.net. After cancelling you can keep using the Service until the end of the current period.

Do I have a right of withdrawal?

Because SaaS services qualify as digital content under article 15 of the Turkish Distance Contracts Regulation, the right of withdrawal cannot be exercised once use of the Service has begun. Even so, Chatinbox may consider a pro-rata refund within the first 14 days.

Are WhatsApp message fees included in the subscription?

No. The per-conversation fees Meta applies for the WhatsApp Business API sit outside the subscription and are passed on according to usage. The details are set out on the pricing page.

What happens if my account is suspended?

The reason for suspension is notified by email. Once the issue is corrected the Account can be reactivated. If the suspension turns into termination, the data is deleted 90 days after the end of the Agreement under clause 10.2; mandatory retention periods set out in legislation are reserved.

How do I export my data?

Active Users can export data in CSV/JSON format from the panel. If the Account is closed, an additional export request can be sent to hello@chatinbox.net within the 90-day archive period.
